This is a legal contract between Purdon Consulting Pty Ltd (the company behind "hitlchat") and businesses that want to use their messaging software service. hitlchat is a platform that helps businesses manage communications with their customers, particularly through WhatsApp.
What You Get: Access to hitlchat's messaging platform as a subscription service
Trial Period: 7-14 days to try the service before being charged
License Type: Limited, non-exclusive access - you can use it but don't own it
Platform: Web-based dashboard to manage messages from customers
Your Responsibilities as a Customer:
- Provide accurate information and payment details
- Maintain security of your account and authorized users
- Get proper legal approvals for your business use
- Cooperate with setup and integration
- Keep your registered SIM card accessible (within 30 minutes for emergencies)
- Obtain proper consent from customers before collecting their data
- Payment Structure
Subscription Fee: Regular monthly/annual fee for platform access
What you cannot do
- Resell or redistribute the service
- Reverse engineer or copy the platform
- Use it for anything other than your business operations
- Disable security features
- Create competing products using their technology
Service Guarantees
- Target uptime of 95% per year
- Scheduled maintenance won't exceed 8 hours per week
- If service fails for 2 consecutive months, you can terminate and get a refund
Data and Privacy
- You must get proper consent from customers before collecting their data
- WhatsApp data will be stored on Meta's servers (not locally in India)
- Both parties must follow Indian data protection laws
Confidential information must be protected
When Service Can Be Suspended
- The company can immediately suspend your access if:
- Your use poses security risks
- You breach the agreement
- You don't pay on time
- Your business faces bankruptcy or similar issues
Ending the Agreement
- You can cancel during the trial period without charge
- After trial, you need to give written notice to avoid auto-renewal
- Upon cancellation, you must destroy all confidential materials
- Outstanding fees remain due
Legal Protections
- Liability Limits: Company's maximum liability is limited to fees paid in the previous 12 months
- No Warranties: Service provided "as is" without guarantees of perfection
- Indemnification: Both parties protect each other from certain third-party claims

WhatsApp QR code connection type in hitlchat is not officially supported by WhatsApp/Meta for any sort of automation. i.e. Using it for chatbot automation, sending bulk WhatsApp messages etc may lead to your number being restricted or banned. hitlchat is not liable for any account actions taken by WhatsApp as a result of this.
Important Restrictions
- Company retains all intellectual property rights
- You cannot use similar trademarks or names
- Company can use your name/logo for marketing purposes
- Company can assign the agreement to others, but you cannot
